Terms of Service.

These Terms of Service govern your use of the Simple4u website at simple4u.io ("the Site") operated by Very Simple Solutions Inc. ("Simple4u", "we", "us"). By using the Site, you agree to these Terms.

If you buy a plan online, on this Site or on simple4u.ai, section 5 of these Terms covers the purchase. If your business signs a Master Service Agreement (MSA) and Data Processing Agreement (DPA) with Simple4u, that engagement is governed by those documents.

1. Who we are

Simple4u is the trade name of Very Simple Solutions Inc., a New York corporation registered in 2023, based in Brooklyn, NY. Simple4u builds AI systems for small and mid-size businesses, working under the client's team, under a monthly retainer.

2. Scope of these Terms

These Terms apply to:

• Browsing the Site and any of its pages
• Reading our open source documentation, blog posts, and case studies
• Booking discovery calls through the Calendly link
• Sending us messages via the contact form or email
• Buying a plan online: the AI front desk, the marketing retainer or the AI Office (section 5)

These Terms do not apply to:

• Services delivered under an MSA: those are governed by the MSA itself
• Open source software we publish (e.g. SAE4U Agent, sae4u-memory): governed by the license shipped in each repository (typically Apache 2.0)

3. Acceptable use

You agree to use the Site lawfully and in good faith. You will not:

• Attempt to access non-public parts of the Site or any system connected to it
• Probe, scan, or test the vulnerability of any system without written permission (responsible security research is welcome: email us first)
• Interfere with or disrupt the Site, including by overloading it or transmitting malware
• Misrepresent yourself or use the Site to defraud others
• Scrape the Site at scale: lightweight indexing for legitimate research is fine

4. Discovery calls and inquiries

Booking a discovery call or sending us a message creates no contractual relationship and no commitment from either side. Discovery calls are exploratory: we use them to understand your situation and decide whether the embedded retainer model is a fit. We may decline to engage at our discretion.

Information you share during a discovery call or in correspondence is treated as confidential to the extent practical. We do not redistribute proprietary information you share.

5. Buying a plan online

Three plans can be bought online: the AI front desk, the marketing retainer and the AI Office. Stripe processes the payment; we never see or store your card number. Prices are in US dollars and do not include any sales tax that may apply.

• What a plan includes is what simple4u.io/how-we-work says about it on the day you buy. Work outside the plan, such as app work or new features, is quoted by the hour before we start.
• Setup fee. Charged when you buy. It is fully refundable until the kickoff call. If you have not booked the call within 14 days of purchase, the refund window closes on day 14. Work starts at kickoff, so after the call the setup fee is not refundable.
• Monthly fee. Billed in advance, once a month. For the marketing retainer, the first month is charged when you buy. For the AI front desk and the AI Office, the monthly fee starts when the service goes live: Stripe saves your card at checkout; we email you the start date, then charge that card each month. On the marketing retainer, the AI front desk’s monthly fee is included.
• Cancel any time. Email office@simple4u.io. The plan runs to the end of the month you have paid for; we do not refund part of a month. If you cancel before a monthly fee has started, nothing more is charged.
• When a plan ends, the front desk and the office stop running at the end of the paid month. Your content and data, including prices, menus, the knowledge base and conversation logs, are yours: on request we send you a copy or delete them.
• AI answers can be wrong. The front desk answers from the facts you give us and says it is an AI. Tell us when your prices or policies change; we fix a wrong answer as soon as we find it or you report it.
• Guest conversations are kept so we can review and fix answers. We use them only to run your plan and never to train models shared with other clients.
• Founding price. The AI Office setup is $4,500 instead of $12,000 for purchases made through December 31, 2026.
• Price changes. We email you at least 30 days before a monthly price changes.
• Liability. For a plan bought online, our total liability is limited to the fees you paid for that plan, including its setup fee, in the 12 months before the claim. This limit does not apply to claims that cannot be limited under applicable law.

6. Intellectual property

Site content (copy, design, original imagery) is owned by Very Simple Solutions Inc. or licensed to us. You may quote short excerpts with attribution and a link back; you may not reproduce substantial portions without permission.

Our open source projects are governed by their own licenses. SAE4U Agent is released under the Apache License 2.0 and sae4u-memory under the MIT License, at github.com/Simple4uhq. The license file in each repository is the controlling document for the software.

Trademarks "Simple4u" and "SAE4U" are claimed by Very Simple Solutions Inc. The SHAITS standard name is managed by Simple4u as the original publisher.

7. Third-party links and services

The Site links to third-party services (Calendly for booking, Stripe for payments, GitHub for code, external articles). We don't control those services and are not responsible for their content, terms, or privacy practices.

8. Disclaimers

The Site and the content on it are provided "as is" for informational purposes. We make reasonable efforts to keep the Site accurate but do not warrant that all information is current, complete, or free of errors. Specific engagement deliverables (proposals, statements of work, technical recommendations) are provided under the MSA, not under these Terms. Plans bought online are provided as described in section 5.

Open source software is provided under its license terms, including any disclaimers of warranty contained therein.

9. Limitation of liability

To the maximum extent permitted by law, Simple4u and its directors, employees, and agents are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or a plan bought online, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising out of or relating to your use of the Site is limited to USD $100. This limit does not apply to claims that cannot be limited under applicable law. For a plan bought online, the limit in section 5 applies instead.

10. Indemnification

You agree to indemnify and hold Simple4u harmless from claims, damages, and expenses (including reasonable legal fees) arising from your violation of these Terms or your use of the Site in a way that infringes the rights of others.

11. Termination

We may suspend or terminate your access to the Site at our discretion, without notice, if we believe you are violating these Terms or applicable law. Sections that by their nature survive termination (IP, disclaimers, liability, indemnification, governing law) continue in effect.

12. Changes to these Terms

We may update these Terms from time to time. The "Effective" date at the top reflects the latest version. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in New York County, New York, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
